LIMITED WARRANTY

for

Signature Line Products

IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU AND YOUR PURCHASE OF HAWTHORNE SIGNATURE LINE PRODUCTS.

  1. YOUR RIGHTS AND THIS LIMITED WARRANTY. This warranty (this “Limited Warranty”) applies to your purchase of only Hawthorne Signature Line Products, which may be updated from time to time by Hawthorne (the “Product”). This Limited Warranty does not apply to (a) Signature Line Products that do not have a warranty period listed on the Product’s applicable web page at  www.hawthornegc.ca, (b) Custom Order Signature Line Products, and (c) any other products or consumables used with the Product or third party products distributed by Hawthorne. This Limited Warranty gives you specific legal rights, and you may also have other rights which vary by jurisdiction. The disclaimers, exclusions, and limitations of liability under this Limited Warranty shall apply to the fullest extent allowed by applicable laws. For purposes of this Limited Warranty, “Custom Order Signature Line Products” means Hyper-Logic systems.

  2. LIMITATION ON DURATION OF IMPLIED WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAWTHORNE LIMITS THE DURATION OF ANY IMPLIED WARRANTIES TO THE DURATION OF THIS LIMITED WARRANTY. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

  3. WHAT THIS LIMITED WARRANTY COVERS; PERIOD OF COVERAGE. Subject to the Hawthorne Terms and Conditions of Sale (located at https://www.hawthornegc.ca/page/terms-and-conditions) and this Limited Warranty (including the exclusions, limitations and conditions stated herein), for Products purchased from an authorized Hawthorne dealer (“Authorized Dealer”) only, Hawthorne warrants to the original retail purchaser (“Original Purchaser”) that the Product will be free from defects in materials and workmanship which, in Hawthorne’s sole and reasonable discretion, cause the Product to not meet the Performance Specifications, with consideration given to the Product’s overall performance. The warranty period begins on the date of purchase listed on the Original Purchaser’s purchase receipt issued from an Authorized Dealer (or, if the date of purchase is not available, the date of manufacture for the applicable Product), and expires at the end of the term listed for the applicable Product in Section 6 below (the “Warranty Period”). A list of all authorized Hawthorne retailers is available at https://www.hawthornegc.com/page/findretailer. If the Product fails to conform to this Limited Warranty during the Warranty Period, Hawthorne will, in its sole discretion, either (a) repair or replace the defective Product or any component thereof; (b) issue a credit to the Original Purchaser’s account; or (c) accept the return of the Product and refund the money actually paid by the Original Purchaser for the Product. Repair or replacement may be made with a new or refurbished Product or components thereof, in Hawthorne’s sole discretion. If the Product or a component incorporated within is no longer available, Hawthorne may replace the Product or component in question with a similar product or component of similar function, in Hawthorne’s sole discretion. The foregoing is your sole and exclusive remedy for Products that do not conform to being free from defects in materials and workmanship. Any Product or component thereof that has been repaired or replaced under this Limited Warranty shall remain covered by this Limited Warranty for the remainder of the Warranty Period, if any. This Limited Warranty shall be null and void as to Ineligible Products, as further specified in Section 5 below. For purposes of this Limited Warranty, 

  1. Performance Specifications” means those performance specifications set forth in the documentation published by Hawthorne for the applicable Product, including data sheets and instructions (“Product Documentation”);

  2. For LED Products, the Product shall be considered “defective” only if: (A) for indoor rack style lights, 15% or more of the individual light emitting diodes fail to illuminate, or the luminaire’s output has less than 80% of its original photon output as published in the applicable Product Documentation, including tolerances; (B) for indoor compact toplights (including the CT1930e), 5% or more of the individual light emitting diodes fail to illuminate, or the luminaire’s output has less than 80% of its original photon output as published in the applicable Product Documentation, including tolerances; and (C) for the Agrolux WEGA, the luminaire’s output has less than 90% of its photon output as published in the applicable Product Documentation, including tolerances; in each case, as measured by Hawthorne or by an unaffiliated third party nationally recognized laboratory, in Hawthorne’s sole discretion.

  1. WARRANTY CONDITIONS; HOW TO GET SERVICE IF YOU WANT TO SUBMIT A CLAIM UNDER THIS LIMITED WARRANTY. Before being able to claim under this Limited Warranty, the Original Purchaser of the Product must: (a) notify the Authorized Dealer from which the warranted Product was purchased during the Warranty Period of the Original Purchaser’s intention to submit a claim; (b) provide the Authorized Dealer from which the warranted Product was purchased a reasonably adequate description of the alleged nonconformity of the Product or its component(s); and (c) comply with Hawthorne’s return shipping instructions provided by the Authorized Dealer from which the warranted Product was purchased. You may notify the Authorized Dealer from which the warranted Product was purchased by returning the Product to the location of purchase. If the Product was purchased from Hawthorne, or the Authorized Dealer location ceases to operate at the location from which you purchased the Product, you may provide notice to Hawthorne by: (i) emailing [email protected]; (ii) writing Hawthorne Hydroponics LLC, 14111 Scottslawn Road, Marysville, OH 43041, Attn: Customer Service; or (iii) calling Hawthorne toll free at 1-888-478-6544. Products or LED arrays may be required to be returned for inspection and verification of non-conformance by Hawthorne. Any such Products or LED arrays must be accompanied by a “return authorization number”, which can be obtained only from an authorized Hawthorne sales or customer service representative. Hawthorne shall not have any warranty obligations with respect to a returned Product or component(s) thereof if it determines, in its reasonable discretion and after examination of the returned Product, that the Product is an Ineligible Product (as defined in Section 5 below). Adequate records of operating history, maintenance, and/or testing must be kept by the Original Purchaser and provided to Hawthorne upon request to substantiate that the Products qualify for this Limited Warranty. Depending on the issue, specific Product photos may be required. Items returned for warranty service and found not defective will incur a nominal service fee to cover examining, testing, return of shipment and other relevant costs. Warranty claims regarding the Products must be submitted within (30) days of discovery of the defect or failure. Authorized Dealers and Original Customers, as the case may be, shall collect, maintain, and provide to Hawthorne all supporting documentation related to all claims submitted under this Limited Warranty, including but not limited to serial number and proof of purchase, and reasonably assist Hawthorne in the determination and investigation of any claim.

  2. WHAT THIS LIMITED WARRANTY DOES NOT COVER. This Limited Warranty does not cover the following (collectively, “Ineligible Products”): (a) Products or their components marked as “sample” or sold “as is”; (b) Products that were not purchased from an authorized Hawthorne dealer; or (c) Products or their components that have been subject to: (i) unauthorized modifications or alterations, tampering, or improper maintenance or repairs; (ii) handling, storage, installation, testing or use not in accordance with the Product Documentation; (iii) abuse or misuse; (iv) breakdowns, fluctuations, or interruptions in electric power or the telecommunications network to which the Product is attached; (v) improper voltage supply or disruptive power surges; (vi) corrosive environments; (vii) neglect or violation of the instructions or restrictions prescribed by Hawthorne or any applicable standard or code, including those contained in the latest Canadian Electrical Code, Standards for Safety of Underwriters Laboratories of Canada Inc. (UL) or the Canadian Standards Association (CSA); (viii) vandalism; fire; induced vibration; animal or insect activity; (ix) failure resulting from use with non-Hawthorne supplied products, processes or materials; (x) “acts of God”, including lightning, flood, tornado, earthquake, or hurricane; or (xi) any other occurrences beyond Hawthorne’s reasonable control. Unauthorized use of the Product or software, if applicable, can impair the Product’s performance and may invalidate this Limited Warranty. For LED Products:

  1. if sulfur, chlorine, or petroleum-based solutions or other contaminants are determined to be in the area of operation, damage to luminaire components caused by these contaminants are not covered under our Limited Warranty. 

  2. substantial deterioration in the fixture finish that is caused by failure to clean, inspect or maintain the finish is not covered under our Limited Warranty. Crop protection products, cleaning agents and/or other chemicals (e.g., pesticides, fungicides and insecticides) (“Agents”) can only be used in accordance with Product Documentation and guidelines prescribed by the supplier(s) of such Agents.

  3. LED Products installed in applications in which ambient temperatures are outside the range of intended operating temperatures are not covered under our Limited Warranty.

  1. WARRANTY PERIODS. Products shall be covered under this Limited Warranty in accordance with the following warranty periods:

    1. for all Hawthorne Signature lighting Products (except for those LED Luminaires listed at https://www.hawthornegc.com/shop/bycategory/dlc-leds), for a period of up to three (3) years. Please reference the applicable Product Documentation for further detail. 

    2. for those LED Luminaires that are listed at https://www.hawthornegc.com/shop/bycategory/dlc-leds, for a period of five (5) years.

    3. for all other Hawthorne Signature Line Products, for a period of up to 5 years depending on the Product type. Please reference the applicable web page for each Product found at www.hawthornegc.ca for further detail.

  2. DISCLAIMER OF WARRANTIES. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS LIMITED WARRANTY, HAWTHORNE MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE PRODUCT, INCLUDING ANY (A) WARRANTY OR CONDITION OF MERCHANTABILITY; (B) WARRANTY OR CONDITION OF FITNESS FOR A PARTICULAR PURPOSE; (C) WARRANTY OR CONDITION OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED AND WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.

  3. LIMITATION OF LIABILITY. IN ADDITION TO THE ABOVE WARRANTY DISCLAIMERS, AND TO THE FULLEST EXTENT ALLOWED BY LAW, HAWTHORNE, ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE LICENSORS, SUPPLIERS, AND AUTHORIZED DEALERS WILL NOT BE LIABLE FOR ANY DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PRODUCTS, THEIR COMPONENTS OR RELATED SERVICES. THE FOREGOING LIMITATION OF LIABILITY WILL APPLY WHETHER IN AN ACTION FOR BREACH OF CONTRACT, NEGLIGENCE, OTHER TORT, OR ANY OTHER THEORY, EVEN IF AN AUTHORIZED REPRESENTATIVE OF HAWTHORNE HAS BEEN ADVISED OR SHOULD HAVE KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES. HAWTHORNE’S LIABILITY, AND THE LIABILITY OF HAWTHORNE’S AFFILIATES, EMPLOYEES, LICENSORS, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE AMOUNT ACTUALLY PAID FOR THE PRODUCT BY THE ORIGINAL PURCHASER. THE FOREGOING DISCLAIMERS, WAIVERS AND LIMITATIONS WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OF CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.

  4. NON-TRANSFERABILITY OF LIMITED WARRANTY. This Limited Warranty is not transferable from the Original Purchaser of the Product to subsequent owners or purchasers. It may not be transferred, assigned or passed on by the Original Purchaser.

  5. GOVERNING LAW; JURISDICTION. This Limited Warranty is governed by the laws of the province of Ontario without giving effect to any conflict of laws principles that may provide the application of the law of another jurisdiction. Any claims disputes arising out of this Limited Warranty may be instituted in the courts of the province of Ontario, and you agree to submit to the non-exclusive jurisdiction of such courts, for the purpose of litigating all such claims or disputes.

  6. DISPUTE RESOLUTION.

  1. PLEASE READ THIS SECTION CAREFULLY. YOU AGREE THAT WE ARE EACH IRREVOCABLY AND UNCONDITIONALLY WAIVING THE RIGHT TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THIS WARRANTY.

  2. You must first present any dispute to us by contacting Hawthorne to allow us an opportunity to resolve the dispute. You may request arbitration if your claim or dispute cannot be resolved within sixty (60) days after presenting the claim or dispute to Hawthorne. Hawthorne may request arbitration against you at any time after it has notified you of a dispute. The arbitration of any dispute or claim shall be conducted in accordance with the Arbitration Rules of the ADR Institute of Canada (the “ADRIC Rules”). The arbitration shall take place in Toronto, Ontario and the law of Ontario will apply. A single arbitrator will determine the arbitration. The arbitrator will be mutually agreed by the parties. If there is no agreement on the arbitrator, the arbitrator will be chosen in accordance with the ADRIC Rules. The arbitration shall be confidential and the parties agree to protect the confidentiality of any arbitration materials filed. Any arbitration proceeding under this clause must be commenced no later than one year after the controversy or claim arose. Failure to timely commence an arbitration proceeding constitutes both an absolute bar to the commencement of an arbitration proceeding with respect to the dispute, and a waiver of the dispute. The decision of the arbitrator shall be final and binding upon the parties. If any portion of this arbitration clause is determined by a court to be inapplicable or invalid, then the remainder shall still be given full force and effect.

  3. There shall be no right or authority for any claims subject to arbitration to be arbitrated on a class action or consolidated basis or on bases involving claims brought in a purported representative capacity on behalf of the general public (including, but not limited to, as a private attorney general). Hawthorne will pay all administrative fees and expenses for any arbitration that Hawthorne initiates. All other arbitration will be divided equally between you and Hawthorne according to rules of the ADR Institute of Canada. Each party will bear the expense of its own counsel, experts, witnesses and preparation and presentation of evidence at the arbitration hearing. You must contact Hawthorne within one (1) year of the date of the occurrence of the event or facts giving rise to a dispute, or you waive the right to pursue any claim based upon such event, facts, or dispute.

  1. ENTIRE AGREEMENT; OTHER TERMS.

  1. This Limited Warranty should be read together with the provisions on warranty in the Hawthorne Terms and Conditions of Sale and the specific Product information set forth on www.hawthornegc.com (the “Product Specific Terms”), and constitutes the whole and complete understanding of Hawthorne and the original retail purchaser as to the warranty of the Product. In the event of a conflict between the Limited Warranty and the Product Specific Terms, the Product Specific Terms shall control to the extent necessary to resolve such conflict. This Limited Warranty does not apply to products not manufactured by or for Hawthorne.

  2. This Limited Warranty is effective as of August 14, 2023. Hawthorne reserves the right to modify this Limited Warranty from time to time and any modifications shall be effective for all orders placed on or after the effective date of such revised warranty.
